Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "Shipper") and Patwadi Logistics LLP ("Patwadi", "we", "us") governing all bookings and use of our intercity parcel delivery services and platform. By ticking "I agree to Patwadi's Terms of Service" at checkout, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, do not complete the booking.

These Terms may be updated periodically. Continued use of our Services after an update constitutes acceptance of the revised Terms. Material changes will be notified via in-app notification at least 7 days in advance.

Who we are

Patwadi Logistics LLP is an intercity parcel delivery network registered in India with its principal office in Chandigarh. We operate a verified cargo corridor network connecting cities across India, handling parcels through a multi-leg chain of network agents with custody verified at every handoff point.

Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By booking, you warrant that you are the owner of the Parcel or are legally authorised to ship it on the owner's behalf, and that you have full authority to agree to these Terms on behalf of any organisation you represent.

Scope of these Terms

These Terms apply to all bookings placed through the Patwadi mobile application or website (patwadi.com), including bookings initiated via WhatsApp with confirmation through the platform. They are supplemented by our Shipping Policy (operational rules) and our Privacy Policy (data practices), each of which forms part of the agreement between you and Patwadi.

Where there is any conflict between these Terms and the Shipping Policy, these Terms prevail.

The following terms have the meanings assigned to them below and apply throughout these Terms and the Shipping Policy.

Core terms
  • Booking โ€” a confirmed shipment order placed through the Patwadi Platform, evidenced by a booking confirmation and payment receipt.
  • Consignee โ€” the person or entity designated by the User to receive the Parcel at the destination.
  • Corridor โ€” a verified intercity route on which Patwadi's network operates, as listed in the Platform at the time of Booking.
  • Custody Event โ€” each verified handoff of a Parcel between Network Agents, recorded immutably on Patwadi's platform with a confirmation code and photographic proof.
  • Declared Value โ€” the monetary value of the Parcel as stated by the User at the time of Booking.
  • Delivery Partner โ€” a Patwadi Network Agent responsible for last-mile delivery to the Consignee at the destination city.
  • Network Agent โ€” any individual or entity engaged by Patwadi to handle, transit, or deliver Parcels at any stage of the shipment journey. Network Agents are independent contractors; they are not employees or agents of Patwadi for purposes beyond the specific services they perform.
  • Parcel โ€” the item(s) packaged by the User and handed over to a Patwadi Network Agent for delivery.
  • Pickup Partner โ€” a Patwadi Network Agent responsible for collecting the Parcel from the User at the origin city.
  • Platform โ€” the Patwadi mobile application and website (patwadi.com) through which Services are booked and tracked.
  • Said to Contain Basis โ€” the principle that Patwadi accepts Parcels on the basis of the User's declaration of contents without independent verification of those contents.
  • Service Commencement โ€” the earlier of: (a) assignment of a Pickup Partner to the Booking; (b) arrival of the Pickup Partner at the pickup location; or (c) physical collection of the Parcel by a Pickup Partner.
  • Services โ€” the intercity parcel delivery services provided by Patwadi, as described on the Platform from time to time.
  • TAT (Turnaround Time) โ€” the estimated delivery timeframe for a given Corridor as stated at the time of Booking. TAT is an estimate only and does not constitute a guaranteed delivery time.
  • Invalid Order โ€” a Booking involving: (a) Parcels with misdeclared contents, weight, or value; (b) prohibited items; (c) arrangements made outside the Platform with a Network Agent; or (d) any shipment that materially deviates from what was declared at Booking. Patwadi has no liability in respect of Invalid Orders.

All Services are provided on a prepaid basis. Your Booking is confirmed only after payment is successfully processed by Razorpay. By completing a Booking, you accept the price shown at checkout subject to the provisions below.

Payment and price

All payments are processed through Razorpay. We do not accept cash on delivery or offline payment of any kind. The price shown at checkout is based on the route, parcel category, and weight declared by the User. The final price is subject to weight and dimension verification at pickup. If the actual weight or dimensions exceed the declared figures, Patwadi reserves the right to charge a differential amount before completing the Booking, or to reject the Parcel. Patwadi is not responsible for any delays resulting from weight discrepancies.

Booking confirmation and timing

Bookings placed after 10:00 pm IST will be assigned a Pickup Partner on the following morning. Patwadi does not guarantee specific pickup times; TAT commences from actual physical collection of the Parcel. Bookings are not confirmed until payment is successfully processed and a Booking confirmation is issued.

Tax compliance and E-way bill

The User is solely responsible for compliance with applicable tax laws in relation to the Parcel and its declared value. For inter-state shipments where the consignment value exceeds โ‚น50,000, the User must generate a valid E-way bill and provide it along with a tax invoice to the Pickup Partner at the time of collection. For consignments below โ‚น50,000, a bill of supply or delivery challan (as applicable under GST law) must be provided. Patwadi shall not be held responsible for seizure, detention, or penalties arising from the User's failure to provide valid documentation.

TDS (Tax Deducted at Source) shall be applicable where aggregate freight payable to Patwadi exceeds โ‚น1,00,000 in a financial year. The process for TDS deduction and reimbursement shall be as per applicable law and mutually agreed procedure.

Off-platform payments โ€” strictly prohibited

Patwadi does not recognise or accept any payment made directly by the User to a Network Agent outside the Patwadi Platform, whether in cash, UPI, or any other method. Any such payment is at the User's sole risk. Patwadi has no liability for disputes, overcharges, or service failures arising from off-platform payments. Any Booking undertaken pursuant to an off-platform payment arrangement shall be treated as an Invalid Order. Users who induce or compensate a Network Agent to accept a Parcel outside the Platform are in material breach of these Terms.

Cancellation rights and refund eligibility depend on how far your Booking has progressed at the time of the cancellation request. Patwadi processes refunds through the original payment method within the timeframes below.

Cancellation before Service Commencement

If you cancel a Booking before a Pickup Partner has been assigned, you are entitled to a full refund of the amount paid. Cancellation requests must be submitted through the Patwadi app or by contacting support. Cancellation by phone call or WhatsApp is acknowledged only as a notification; the formal cancellation must be confirmed on the Platform.

Cancellation after assignment but before physical collection

If a Pickup Partner has been assigned to your Booking but the Parcel has not yet been physically collected, you are entitled to a 50% refund. The remaining 50% compensates the assigned Pickup Partner for time and travel already committed to the Booking.

Cancellation after Service Commencement โ€” no refund

Once the Parcel has been physically collected by the Pickup Partner (Service Commencement), no refund is available. The Parcel will proceed to its destination. If the Consignee refuses delivery, storage and return charges apply as described in the Shipping Policy. Patwadi cannot interrupt an in-transit Parcel.

Patwadi-initiated cancellation

Patwadi may cancel a Booking at its discretion in the event of: operational constraints; unavailability of corridor capacity; discovery of a prohibited item; safety concerns; or any material misrepresentation by the User. Where Patwadi initiates cancellation for a reason not attributable to the User, a full refund will be processed. Where cancellation is due to User misrepresentation or prohibited items, no refund is guaranteed and Patwadi may charge handling costs.

Refund timelines and method

Eligible refunds are credited to the original Razorpay payment method within 7โ€“10 business days from the date of cancellation confirmation. Patwadi is not liable for delays caused by payment gateway providers or issuing banks. Refunds cannot be redirected to a different payment method or account.

Patwadi's liability for loss or damage to Parcels is subject to the limits set out below. These limits apply only to valid Bookings placed in compliance with these Terms. No liability arises in respect of Invalid Orders.

Said to contain basis

All Parcels are accepted on a Said to Contain Basis. Patwadi is under no obligation to verify the description, contents, weight, or value of any Parcel as declared by the User. The User undertakes to make accurate, truthful, and complete declarations. Any inaccuracy in the declaration โ€” including understatement of value, misdescription of contents, or failure to disclose the presence of fragile or restricted items โ€” is the User's sole responsibility and releases Patwadi from any associated liability.

Maximum liability cap

Patwadi's maximum liability for loss, damage, or mis-delivery of a Parcel is limited to the lower of: (a) the Declared Value of the Parcel; or (b) โ‚น5,000. This cap applies per Parcel per Booking. Freight charges paid are not refunded in addition to this cap; they may be refunded separately in cases of loss where Patwadi is determined to be at fault following investigation.

Users are strongly advised to declare accurate values and not ship items whose potential loss would exceed โ‚น5,000 until cargo insurance arrangements are in place. Patwadi recommends that Users obtain independent transit insurance for high-value items.

What Patwadi is not liable for

Under no circumstances will Patwadi be liable for:

  • Indirect, incidental, consequential, special, or exemplary losses or damages
  • Loss of income, profit, business opportunity, or data
  • Sentimental or replacement value beyond the Declared Value
  • Damage arising from inadequate or faulty packaging by the User
  • Damage or loss caused by a force majeure event (see below)
  • Delays not caused by Patwadi's direct negligence
  • Loss arising from User-supplied incorrect or incomplete address or contact information
  • Loss in respect of Invalid Orders
Reverse liability โ€” mis-declaration

Where a User's mis-declaration of Parcel contents results in damage to the mis-declared Parcel or to any other Parcel or property while in transit or storage, the User shall be fully liable for all resulting damages, including to third parties, and shall indemnify Patwadi against any resulting claims, costs, penalties, or regulatory action.

Force majeure

Patwadi shall not be liable for delay, mis-delivery, non-delivery, or loss caused by: acts of God; natural disasters; floods, earthquakes, or extreme weather; war, civil unrest, riots, or political disturbances; epidemics or pandemics; government orders, embargoes, or regulatory prohibitions; road closures, strikes, or transport disruptions beyond Patwadi's control; vehicle accidents; legal seizure or court orders; or any other cause reasonably beyond Patwadi's control. In force majeure events, Patwadi will endeavour to notify affected customers and resume services as promptly as possible.

Claims โ€” timing and process

Any claim for loss or damage must be submitted within 48 hours of delivery (or 48 hours of the expected delivery time in the case of non-delivery). Claims submitted after this window will not be entertained. Claims must be accompanied by: the Booking ID; photographs of the damage or evidence of loss; and a description of the alleged loss or damage. Full details are set out in the Shipping Policy.

The following items cannot be shipped via Patwadi under any circumstances. Booking a Parcel containing prohibited items constitutes a material breach of these Terms. Patwadi reserves the right to refuse, impound, return, or hand over to authorities any Parcel found to contain prohibited items at any stage of transit.

Dangerous and hazardous materials
  • Flammable liquids including oil-based paints, thinners, and industrial solvents
  • Flammable adhesives, aerosols, and propellants
  • Pressurised containers of any kind
  • Dry ice (solid carbon dioxide)
  • Fuel for camp stoves, lanterns, torches, or heating elements
  • Insecticides, pesticides, fertilizers, and garden chemicals
  • Bleach and corrosive cleaning agents
  • Any compound, liquid, or gas with toxic characteristics
  • Infectious substances or biological materials
  • Radioactive materials
  • Magnetized materials
Weapons, illegal items, and controlled substances
  • Firearms, weapons, ammunition, and explosives
  • Military equipment of any kind
  • Narcotics, controlled substances, and illegal drugs
  • Counterfeit goods or goods infringing intellectual property
  • Pornographic or obscene material
  • Any item prohibited or regulated under applicable Indian law
High-value and financial items
  • Currency, coins, and cash of any denomination
  • Bearer instruments, uncrossed cheques, demand drafts, and negotiable instruments
  • Jewellery, precious metals, and gemstones
  • Items with a Declared Value exceeding โ‚น10,000 (general) or โ‚น5,000 (electronics) in the pilot period
Identity and secure documents

Users must not ship any secure identity or financial document, including but not limited to: Aadhaar cards, passports, voter ID cards, PAN cards, bank statements, credit cards, debit cards, cheques, insurance documents, and educational certificates. Patwadi has no liability if such documents are handed over for shipment.

Other prohibited categories
  • Live animals or biological specimens
  • Perishable food items or items requiring temperature-controlled transport
  • Human remains or ashes
  • Alcohol, tobacco, or e-cigarette products
  • Machinery containing fuel

By placing a Booking, the User accepts the following obligations in addition to all other provisions of these Terms.

Accurate declarations

The User must provide accurate, complete, and truthful declarations of: Parcel contents and category; Declared Value; weight and dimensions; Consignee name, address, and contact number; and any special handling requirements. Inaccurate declarations that result in loss, damage, or regulatory action render the Booking an Invalid Order and release Patwadi from all liability.

Packaging responsibility

The User is solely responsible for ensuring that the Parcel is adequately packed prior to pickup. Patwadi does not provide packaging materials. The Pickup Partner will photograph the Parcel's exterior at collection โ€” this photograph forms part of the custody record. If packaging is flagged as inadequate, the Pickup Partner may ask the User to repack. Patwadi is not liable for damage caused by inadequate packaging, regardless of whether the Parcel was accepted with flagged packaging.

Consignee availability

The User is responsible for ensuring that the Consignee is available at the delivery address at the time of delivery, or that an authorised person is present. If the Consignee is unavailable, refuses delivery, or cannot be reached, the instance is treated as an attempted delivery. Storage and return charges apply as detailed in the Shipping Policy. Patwadi is not liable for failed deliveries arising from Consignee unavailability.

User indemnity

The User agrees to fully indemnify, defend, and hold harmless Patwadi, its partners, Network Agents, officers, and representatives from and against any and all losses, liabilities, claims, damages, costs, and expenses (including reasonable legal fees) arising from: (a) breach of these Terms; (b) inaccurate Parcel declarations; (c) shipment of prohibited items; (d) the User's violation of any applicable law; (e) any third-party claim related to the Parcel or its contents; or (f) off-platform payment or arrangement with a Network Agent.

Account security

You are responsible for maintaining the confidentiality of your account credentials. Any activity conducted through your account is your responsibility. You must notify Patwadi immediately at admin@patwadi.com if you suspect unauthorised access to your account. Patwadi is not liable for losses arising from unauthorised account access resulting from the User's failure to protect credentials.

The Patwadi Platform is provided for the purpose of booking and tracking parcel deliveries. All intellectual property in the Platform belongs to Patwadi or its licensors.

License to use the Platform

Patwadi grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform for the purpose of booking and managing your parcel deliveries, subject to your compliance with these Terms. This licence does not extend to: commercial resale of our Services without written authorisation; reverse engineering of the Platform; scraping or automated data extraction; or use of Platform content for any purpose other than personal delivery management.

Intellectual property

All content on the Platform โ€” including trademarks, logos, design, text, software, and data โ€” is the intellectual property of Patwadi Logistics LLP or its licensors and is protected by applicable intellectual property laws. "Patwadi" is a registered trademark. You may not use, reproduce, or distribute any content from the Platform without express written permission from Patwadi.

Account suspension and termination

Patwadi reserves the right to suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including: breach of these Terms; fraud or misrepresentation; violation of applicable law; security risk; or repeated cancellations without cause. Restoration of access is at Patwadi's sole discretion. Termination does not affect Patwadi's right to recover outstanding freight charges, handling fees, or indemnified losses.

Feedback and user submissions

Any feedback, suggestions, reviews, or comments you submit to Patwadi become the property of Patwadi and may be used without restriction or compensation. You warrant that any content you submit does not violate any third-party right, is not defamatory, and does not contain malicious code or misleading information. Patwadi may remove any submitted content at its discretion without notice.

Disclaimer of warranties

The Platform and Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Patwadi does not warrant that the Platform will be error-free, virus-free, or continuously available. TAT estimates are not guaranteed delivery commitments.

We aim to resolve all disputes quickly and fairly. Please contact our support team first. These Terms are governed by Indian law with exclusive jurisdiction in Chandigarh, Punjab.

Dispute resolution โ€” support first

Before initiating any formal legal process, the User must contact Patwadi's support team at admin@patwadi.com and allow 15 business days for the dispute to be reviewed and a resolution proposed. This informal resolution step is a condition precedent to any arbitration or litigation.

Arbitration

If a dispute is not resolved through the informal process, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Chandigarh, Punjab, India. The language of arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator, mutually appointed by the parties or, failing agreement within 15 days, appointed by the competent court at Chandigarh.

Governing law and jurisdiction

These Terms and any dispute arising from them shall be governed by the laws of India. The courts at Chandigarh, Punjab, India shall have exclusive jurisdiction over any matter that is not subject to arbitration, including emergency interim relief.

Severability, entire agreement, and waiver

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Shipping Policy and Privacy Policy, constitute the entire agreement between you and Patwadi with respect to the Services and supersede all prior agreements or understandings.

Waiver. Patwadi's failure to enforce any provision of these Terms in a particular instance shall not be construed as a waiver of that provision or Patwadi's right to enforce it in the future.
